SERVICE LEVEL AGREEMENT FOR SOFTWARE AS A SERVICE


Service Levels for Trackwork SR&ED Software
 

1. Service Availability

Trackwork commits to ensuring that the Services are available 99.9% of the time, measured on a monthly basis, excluding holidays, weekends, and scheduled maintenance periods.
 

2. Maintenance

Scheduled maintenance will be performed during off-peak hours and will be communicated to the Customer at least 48 hours in advance. If the Customer requests maintenance during regular business hours, the time will be excluded from the uptime calculation.

3. Downtime Exclusions

The following will be excluded from any uptime or downtime calculations:

  • Downtime caused by Customer-requested maintenance.

  • Downtime resulting from outages of third-party connections or utilities.

  • Downtime due to reasons beyond Trackwork’s reasonable control, including force majeure events.
     

4. Remedies for Service Downtime

In the event of Service downtime exceeding one full day, the Customer will be entitled to a credit of 1% of the monthly Service fees for each consecutive day of downtime, up to a maximum of five credits per month.
 

5. Credit Calculation and Limitations
Downtime begins to accrue once the Customer notifies Trackwork of the downtime and continues until Service availability is restored. To receive downtime credits, the Customer must notify Trackwork in writing within 24 hours of the downtime occurrence. Failure to provide timely notice forfeits the right to receive credits. Credits will be applied to the month in which the incident occurred and cannot be redeemed for cash. The cumulative credits cannot exceed one week of Service fees (1/52 of the annual Service Fee) in any calendar month.
 

6. Exclusions from Remedies
Credits are the Customer’s sole and exclusive remedy for any failure to meet Service availability commitments. Blocking of data communications or other Service interruptions due to policy enforcement will not constitute a failure to meet Service levels under this Agreement.
 

7. Definitions

  • "Service Fees" refer to the fees paid by the Customer for the provision of the Services.

  • "Downtime" refers to the period when the Services are not available to the Customer as measured by Trackwork's monitoring tools.
     

8. Miscellaneous
Trackwork reserves the right to modify the terms of this SLA with 30 days' notice to the Customer. Such modifications will not adversely affect the Customer’s accrued rights and remedies.

TERMS OF USE AGREEMENT FOR SOFTWARE AS A SERVICE

​

IMPORTANT - READ CAREFULLY: This Terms of Use Agreement for Software as a Service ("ToU"), together with the Proposal & Sales Agreement issued to you (collectively, the "Agreement"), is a legal agreement between you (either an individual or a single entity) (the “Customer” or “you”) and Moonbase Design Inc. ("MBD”) for the Trackwork software as a service product identified in the Proposal & Sales Agreement, which may include associated software components, media, printed materials, and "online" or electronic documentation ("SAAS PRODUCT"). By using the SAAS PRODUCT, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not use the SAAS PRODUCT.

The SAAS PRODUCT is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The SAAS PRODUCT is licensed, not sold.

1. USE OF SAAS PRODUCT

1.1 Right to Use: Subject to the terms and conditions of the Agreement and MBD’s then-current MBD Service Level Agreement, a copy of which is available for review online at https://www.trackwork.cloud/saas (which MBD may update from time to time upon notice to Customer), MBD shall provide the SAAS PRODUCT to Customer during the Service Term. The rights to access and use the SAAS PRODUCT granted under this Agreement are personal to Customer and may not be leased, assigned, or sublicensed, including, but not limited to, any attempted transfer of the SAAS PRODUCT to a successor in interest of your business. The license granted hereunder is solely for the benefit of Customer as named in the Proposal & Sales Agreement.

1.2 Security: Customer and Users will comply with all MBD rules, regulations, and security restrictions in connection with the use of the SAAS PRODUCT. Customer acknowledges that use of the SAAS PRODUCT is on a named user basis and that Customer may not permit the access and/or use of the SAAS PRODUCT other than by a named user pursuant to the User ID (as defined below) associated with each such named user (the “Users”). Each User will be assigned a unique User identification name and password for access to and use of the SAAS PRODUCT (“User ID”). Customer shall be solely responsible for ensuring the security and confidentiality of all User IDs. Customer acknowledges that it will be fully responsible for all liabilities incurred through the use of any User ID and that any transactions under a User ID will be deemed to have been performed by Customer. Use of any User ID other than as provided in this Agreement shall be considered a breach of this Agreement by Customer.

1.3 Customer Information: Customer grants to MBD a non-exclusive license to copy, use, and display any and all personally identifiable data, information, or communications sent or entered by Customer and/or Users while accessing the SAAS PRODUCT (“Customer Information”) solely to the extent necessary for MBD to provide the SAAS PRODUCT to Customer. Customer acknowledges that MBD exercises no control whatsoever over the content of Customer Information and it is the sole responsibility of Customer, at its own expense, to provide the information and to ensure that the information Customer and Users transmit or receive complies with all applicable laws and regulations now in place or enacted in the future. Customer shall not and shall not knowingly permit Users to provide Customer Information that:

  • (i) Infringes or violates any intellectual property rights, publicity/privacy rights, law, or regulation;

  • (ii) Is defamatory, harassing, abusive, harmful to minors, obscene, or pornographic;

  • (iii) Contains any viruses or programming routines intended to damage, surreptitiously intercept, or expropriate any system, data, or personal information; or

  • (iv) Is materially false, misleading, or inaccurate.

MBD may take whatever remedial action it determines in its sole discretion is appropriate if Customer Information violates these restrictions, including, but not limited to, immediate suspension or cancellation of the SAAS PRODUCT. MBD is under no obligation, however, to review Customer Information for accuracy, potential liability, or for any other reason.

1.4 Data Retention: Customer agrees that MBD’s obligation to keep or maintain any Customer Information obtained in the course of performance of the SAAS PRODUCT shall not extend beyond the expiration of thirty (30) days following the termination of this Agreement. MBD will provide a copy of Customer Information (in a format of MBD’s choosing) upon termination or expiration of this Agreement (at Customer’s expense), provided that Customer requests such copy, in writing, within ten (10) days following the termination of this Agreement.

1.5 Data Collection: MBD shall have the right to utilize data capture, syndication, and analysis tools, and other similar tools to extract, compile, synthesize, and analyze any non-personally identifiable data or information (including, without limitation, Customer Information) resulting from Customer’s and User’s access and use of the SAAS PRODUCT (“Blind Data”). To the extent that any Blind Data is collected by MBD, such Blind Data shall be solely owned by MBD and may be used by MBD for any lawful business purpose without a duty of accounting to Customer, provided that the Blind Data is used only in an aggregated form, without specifically identifying the source of the Blind Data. Without assuming any obligations or liabilities of Customer, MBD agrees to use commercially reasonable efforts to comply with the applicable Canadian laws and regulations respecting the dissemination and use of such Blind Data.

1.6 Subcontracting: Customer acknowledges that MBD shall have the right to subcontract the hosting of the SAAS PRODUCT, in which event the terms provided by any third-party hosting provider (including, without limitation, any service levels that are stricter than the service levels offered by MBD) will be incorporated herein by reference.

2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS

​

2.1 Hardware: Customer shall procure, install, and maintain all equipment, Internet connections, and other hardware (other than the hardware constituting the support center maintained at MBD’s facilities) necessary for Customer and Users to connect to and access the SAAS PRODUCT.

​

2.2 Conduct: Customer agrees:

  • (i) Not to copy, decompile, reverse engineer, disassemble, attempt to derive the source code, modify, or create derivative works of the SAAS PRODUCT or any related documentation;

  • (ii) Not to distribute copies of the SAAS PRODUCT to third parties or otherwise rent, lease, or lend the SAAS PRODUCT to any third-party or use the SAAS PRODUCT as a service bureau;

  • (iii) Not to upload or distribute in any way files that contain viruses, Trojans, worms, time bombs, logic bombs, corrupted files, or any other similar software or programs that may damage the operation of the SAAS PRODUCT or another's computer;

  • (iv) To comply with all applicable laws regarding use of the SAAS PRODUCT;

  • (v) Not to interfere or disrupt networks connected to the SAAS PRODUCT;

  • (vi) Not to upload, post, promote, or transmit through the SAAS PRODUCT any unlawful, harassing, libelous, abusive, threatening, harmful, vulgar, obscene, hateful, racially, ethnically, or otherwise objectionable material of any kind or nature;

  • (vii) Not to upload amounts of data and/or materials in excess of any limits specified by MBD and not to create large numbers of accounts or otherwise transmit large amounts of data so as to comprise a denial of service attack or otherwise so as to have a detrimental effect on the SAAS PRODUCT;

  • (viii) Not to upload, promote, transmit, or post any material that encourages conduct that could constitute a criminal offense or give rise to civil liability; and

  • (ix) Not to remove or alter any copyright notices on all copies of the SAAS PRODUCT.

MBD may take whatever remedial action it determines in its sole discretion is appropriate if Customer violates these restrictions, including, but not limited to, immediate suspension or cancellation of the SAAS PRODUCT.

2.3 Support Services: MBD will provide Customer with Training and Support Services as set forth in the MBD Service Level Agreement and the Proposal & Sales Agreement ("Support Services"), provided, however, that MBD shall have no obligation to provide Support Services if Customer fails to pay the applicable support fees or Customer is otherwise in breach of this Agreement. MBD shall have no obligation to provide Support Services for any SAAS PRODUCT in the event that:

  • (i) Customer modifies the SAAS PRODUCT (or any component thereof) without MBD’s prior written consent;

  • (ii) Any error is caused in whole or in part by persons other than MBD, including without limitation, or failure by Customer to properly enter data; or

  • (iii) Any error is caused in whole or in part by Customer installation or use of the SAAS PRODUCT in association with operating environments and platforms other than those specified by MBD.

Customer agrees to provide MBD with access to such facilities and equipment as are reasonably necessary for MBD to perform its obligations hereunder, including remote access to the SAAS PRODUCT.

3. INFRINGEMENT AND INDEMNIFICATION

​

3.1 Infringement Indemnity: MBD will defend and indemnify Customer against a third-party claim that the SAAS PRODUCT used by Customer in accordance with this Agreement infringes or misappropriates any third-party intellectual property rights in Canada, provided that:

  • (i) Customer agrees to notify MBD promptly in writing of Customer’s knowledge of a claim;

  • (ii) MBD has sole control of the defense and all related settlement negotiations; and

  • (iii) Customer provides MBD with the assistance, information, and authority reasonably necessary to perform such defense.
     

MBD shall have no liability for any claim of infringement resulting from:

  • (iv) Customer’s alteration or modifications of the SAAS PRODUCT without MBD’s prior written approval;

  • (v) Customer Information; or

  • (vi) The combination or use of the SAAS PRODUCT with software, data, or material not furnished by MBD.
     

3.2 Mitigation/Termination: In the event that some or all of the SAAS PRODUCT is held or is reasonably believed by MBD to infringe the rights of a third party, MBD shall have the option, at its expense, to:

  • (i) Modify the SAAS PRODUCT to make it non-infringing; or

  • (ii) Obtain a license that permits Customer to continue using the SAAS PRODUCT.
     

If neither of such options can be exercised by MBD on a commercially reasonable basis and the infringing materials materially affect the SAAS PRODUCT or the ability of MBD to meet its obligations under this Agreement, then MBD may terminate this Agreement and Customer shall be entitled to recover from MBD a portion of the license fee paid to MBD prorated over a straight-line term of three (3) years.
 

3.3 Exclusive Remedy: Section 3 states MBD’s entire liability and exclusive remedy for infringement of third-party intellectual property rights.

 

4. CONFIDENTIAL INFORMATION
 

4.1 Definition: “Confidential Information” means the SAAS PRODUCT, its associated documentation, MBD’s pricing for the SAAS PRODUCT, and other information disclosed by MBD under this Agreement that is labeled or otherwise designated as confidential or that by its nature would reasonably be expected to be kept confidential.
 

4.2 Exclusions: Notwithstanding the foregoing, MBD’s Confidential Information shall not include information that:

  • (i) Is or becomes publicly available through no act or omission of Customer;

  • (ii) Was in Customer’s lawful possession prior to the disclosure and had not been obtained by Customer either directly or indirectly from MBD;

  • (iii) Is lawfully disclosed to Customer by a third party not bound by a duty of non-disclosure; or

  • (iv) Is independently developed by Customer without access to or use of the Confidential Information.
     

4.3 Nondisclosure: Customer agrees to hold the Confidential Information in confidence. Customer agrees not to make the Confidential Information available in any form to any third party or to use the Confidential Information for any purpose other than performing its obligations or enjoying its rights under this Agreement. Customer agrees to use the same degree of care that it uses to protect its own confidential information of a similar nature and value, but in no event less than a reasonable standard of care, to ensure that Confidential Information is not disclosed or distributed by its employees or agents in violation of the provisions of this Agreement. Customer represents that it has, with each of its employees who may have access to any Confidential Information, an appropriate agreement sufficient to enable it to comply with all of the terms of Section 4.
 

4.4 Required Disclosure: Notwithstanding the foregoing, Customer may disclose the Confidential Information to the extent that such disclosure is required by law or court order, provided, however, that Customer provides to MBD prior written notice of such disclosure and reasonable assistance in obtaining an order protecting the Confidential Information from public disclosure.
 

4.5 Termination/Expiration: After termination or expiration of this Agreement, Customer shall return to MBD any Confidential Information received during the term of this Agreement.

 

5. TERMINATION

Without prejudice to any other rights, MBD may terminate this Agreement if Customer fails to comply with the terms and conditions contained in this Agreement. In such event, Customer shall cease to have any rights in and to the SAAS PRODUCT or use thereof.

 

6. PROPRIETARY RIGHTS

All ownership, title, and rights, including, but not limited to, copyrights, in and to the SAAS PRODUCT and any copies thereof are owned by MBD or its suppliers. All title and intellectual property rights in and to the content which may be accessed through use of the SAAS PRODUCT is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties. The agreement grants Customer no rights to use such content. All rights not expressly granted are reserved by MBD. If Customer suggests any new features, functionality, or performance for the SAAS PRODUCT that MBD subsequently incorporates into the SAAS PRODUCT (or any other software or service), Customer hereby acknowledges that:

  • (i) MBD shall own, and has all rights to use, such suggestions and the SAAS PRODUCT incorporating such new features, functionality, or performance shall be the sole and exclusive property of MBD; and

  • (ii) All such suggestions shall be free from any confidentiality restrictions that might otherwise be imposed upon MBD.

     

7. CANADIAN GOVERNMENT RESTRICTED RIGHTS

Where the Customer is located in Canada, the SAAS PRODUCT is provided with RESTRICTED RIGHTS. Use, duplication, or disclosure by the Government is subject to restrictions as set forth in applicable sections of the Canadian Government procurement laws and regulations.

 

8. EXPORT RESTRICTIONS

Customer agrees not to export or re-export the SAAS PRODUCT to any country, person, entity, or end-user subject to Canadian export restrictions. Customer warrants and represents that neither the Canadian Bureau of Export Administration nor any other federal agency has suspended, revoked, or denied Customer’s export privileges and Customer covenants to promptly notify MBD in writing in the event of any change in the status of Customer’s export privileges.

 

9. LIMITED WARRANTY

For a period of thirty (30) days after delivery of the SAAS PRODUCT, MBD warrants and represents that the SAAS PRODUCT will operate and perform substantially in conformance with the requirements and specifications set forth in the SAAS PRODUCT Product Specification document and the Proposal & Sales Agreement. During the term of this Limited Warranty, MBD will investigate issues reported by Customer in writing in the then-current version of the SAAS PRODUCT. Customer’s exclusive remedy with respect to any material nonconformity or defect in the SAAS PRODUCT discovered during the warranty period will be limited to MBD’s repair or correction of any defective or nonconforming component of the SAAS PRODUCT. MBD shall have no obligation to provide corrections or replacements in the event that:

  • (i) Customer modified the SAAS PRODUCT (or any component thereof) without MBD’s prior written consent;

  • (ii) The error is caused in whole or in part by persons other than MBD, including without limitation, failure by Customer to properly enter data; or

  • (iii) The error is caused in whole or in part by Customer's installation or use of the SAAS PRODUCT in association with operating environments and platforms other than those specified by MBD.

In the event that MBD determines that a Customer's report of an error is incorrect, MBD may charge Customer for MBD’s time at MBD’s published rates then in effect.

 

10. DISCLAIMER OF WARRANTIES

ASIDE FROM THE EXPRESS WARRANTIES SET FORTH IN SECTION 9, THERE IS NO WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. MBD DOES NOT WARRANT THAT THE SAAS PRODUCT WILL OPERATE UNINTERRUPTED OR ERROR FREE OR THAT THE RESULTS OF ANY PROGRAMS OR SERVICES OR THAT THE SAAS PRODUCT, WILL MEET CUSTOMER'S REQUIREMENTS OR EXPECTATIONS.

 

11. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, in no event shall MBD or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the SAAS PRODUCT or the provision of or failure to provide Support Services, even if MBD has been advised of the possibility of such damages. In any case, MBD's entire liability under any provision of this Agreement shall be limited to the amount actually paid by Customer for the SAAS PRODUCT. Because some provinces and jurisdictions do not allow the exclusion or limitation of liability, the above limitation may not apply to Customer.

 

12. GOVERNING LAW

This Agreement is made under, and shall be governed by, the law of the Province of British Columbia, Canada. Any claim, dispute, action, or proceeding arising under this Agreement shall be maintained only in a provincial court located in the Province of British Columbia, and Customer agrees to such governing law and venue for all purposes.

 

13. SEVERABILITY

If any provision of the Agreement is held invalid or otherwise unenforceable, the enforceability of the remaining provisions shall not be impaired thereby.

 

14. FORCE MAJEURE

MBD shall not be in default or otherwise liable for any delay in, or failure of its performance under, this Agreement where such delay or failure arises by reason of any Act of God, or any government or any governmental body, war, insurrection, acts of terrorism, the elements, strikes or labor disputes, or other similar or dissimilar cause beyond the control of such party. Customer acknowledges that the performance of certain of MBD’s obligations may require the cooperation of third parties designated by Customer and outside the control of MBD. In the event such third parties fail to cooperate with MBD in a manner that reasonably permits MBD to perform its obligations, such failures shall be considered as causes beyond the control of the MBD for the purposes of this Section and shall not be the basis for a determination that MBD is in breach of any of its obligations under this Agreement or is otherwise liable.

 

15. ENTIRE AGREEMENT

This Agreement shall constitute the complete agreement between the parties and supersedes all previous agreements or representations, written or oral, with respect to the subject matter hereof. This Agreement may not be modified or amended except in a writing signed by a duly authorized representative of each party. It is expressly agreed that any terms and conditions of any purchase order or similar instrument of Customer shall be superseded by the terms and conditions of this Agreement to the extent that such terms may be in conflict. No waiver shall be implied from conduct or failure to enforce rights. No waiver shall be effective unless in a writing signed by both parties.
